Mike Rann AC, will step down from the Board at the conclusion of the 2026 AGM. • Non-Executive Director, Mr Andrew Grover, will succeed Mr Chmiel as Chair of the Board. • The Board will undertake reduce from five to three Directors, reflecting the Company's current scale and stage of development Spacetalk Ltd (ASX: SPA) ("Spacetalk" or "the Company") announces changes to its Board of Directors, which will take effect at the conclusion of the Company's Annual General Meeting (2026 AGM) on 19 November 2026. Board Changes Mr Chmiel has advised the Board of his decision to step down for personal and family reasons. Mr Rann has advised that his decision to step down was influenced by his taking on additional international responsibilities. Their roles will not be replaced, as the Board's decided to reduce its size from five to three Directors, which the Board considers appropriate for the Company's current operations. The Board confirms that neither retirement is related to the performance of the Company, the performance of either Director, or any disagreement with the Board or management. There are no matters in connection with their retirement that need to be brought to the attention of shareholders. 2 Mr Andrew Grover, who has served as a Non-Executive Director since 8 April 2026, will assume the role of Chair of the Board from the conclusion of the 2026 AGM. Contribution to Spacetalk Mr Chmiel and Mr Rann both joined the Board on 1 July 2022. During their tenure, Spacetalk has undergone a significant transformation, moving from a hardware business to a software-led business. They have guided Spacetalk through a period of fundamental change, and the Company is better positioned as a result.
